Terms of sale for Visual DialogScript software: ordering, Stripe payment, delivery by download, legal warranties, mediation.

These terms of sale govern the sale of Visual DialogScript (VDS) software published by SADE INVEST GROUP on dialogscript.com. Placing an order implies full acceptance of these terms.

1. Purpose

These terms apply to the sale of downloadable software licences. Products involve no physical delivery: they are supplied as digital file(s) to download, together with a licence key sent by email.

3. Prices

Prices are shown inclusive of all taxes, in euros (EUR) or US dollars (USD) depending on the selected currency. Applicable VAT is the rate in force on the order date. SADE INVEST GROUP may change its prices at any time; the price charged is the one displayed when the order is confirmed.

4. Ordering

Ordering takes place online. The customer selects the product, reviews the cart, provides the required information and confirms the order. Confirming the order constitutes acceptance of these terms and formation of the sale contract.

5. Payment

Payment is made online through Stripe, a secure PCI-DSS compliant payment provider. Card details are processed directly by Stripe; SADE INVEST GROUP neither accesses nor stores them. The order becomes final only after payment is confirmed.

6. Delivery — download and licence key

Delivery is digital. As soon as payment is confirmed, the customer receives by email the download instructions for the software together with the licence key, granting immediate access to the product. The customer is responsible for providing a valid email address and for checking spam folders.

7. Right of withdrawal — express waiver

In accordance with Article L221-28, 13° of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of digital content not provided on a tangible medium where performance has begun after the consumer's prior express consent and express waiver of the right of withdrawal.

By confirming the order, the customer expressly requests immediate performance of the supply of the software (provision of the download and licence key) and expressly waives the right of withdrawal. Consequently, no withdrawal or refund may be obtained once the download has begun.

8. Legal warranties

Independently of any commercial warranty, the customer benefits from the legal warranty of conformity (Articles L217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code). To enforce these warranties, the customer contacts customer service at the address above.

The software is provided "as is". Detailed terms of use are set out in the end-user licence agreement.

9. Customer service

For any question about an order, the download or the licence key, the customer may contact support via the contact form or the support page.

10. Governing law

These terms are governed by French law. They are written in French; where translated, the French version prevails.

11. Consumer mediation

In accordance with Articles L611-1 et seq. of the French Consumer Code, consumers are entitled to use, free of charge, a consumer mediator to seek an amicable resolution of a dispute with the seller. Details of the competent mediator: Médicys — 73 boulevard de Clichy, 75009 Paris — medicys.fr.

12. Dispute resolution

In the event of a dispute, the customer first contacts customer service to seek an amicable solution. Failing that, consumers residing in the European Union may use the European Commission's online dispute resolution platform (ec.europa.eu/consumers/odr). Failing amicable resolution, the competent courts are determined in accordance with the applicable law.
