End-user licence agreement

Visual DialogScript end-user licence agreement (EULA): permitted use, royalty-free distribution of executables, restrictions, intellectual property.

This end-user licence agreement ("EULA") governs your use of the Visual DialogScript ("VDS") software published by V-Softs. By installing or using the software, you accept the terms of this EULA.

1. Licence grant

V-Softs grants you a personal, perpetual, non-exclusive licence to use the software, within the limits set out below. The scope of the licence (per workstation, per named user, or otherwise) is specified at purchase: TO BE COMPLETED (licence model: per seat / per user).

2. What you may do

  • Install and use the software in accordance with the licence scope acquired.
  • Develop scripts and applications with VDS.
  • Create and distribute executables (.exe) royalty-free: applications you compile with VDS belong to you and may be distributed freely, including commercially, with no royalty owed to V-Softs.
  • Make one backup copy of the software for your own use.

3. What you may not do

  • Resell, rent, lend, sublicense or transfer the licence or licence key to a third party without V-Softs' written consent.
  • Reverse-engineer, decompile or disassemble the software beyond what the law mandatorily permits (notably for interoperability purposes).
  • Remove, hide or alter copyright notices, trademarks or proprietary notices contained in the software.
  • Circumvent or defeat the licensing or protection mechanisms.

4. Intellectual property

The software is protected by intellectual property law and international treaties. The licence grants you a right of use; it transfers no ownership of the software to you. V-Softs remains the sole owner of all intellectual property rights in the software, its source code, its documentation and the "Visual DialogScript" and "VDS" trademarks. The executables you produce with VDS belong to you (see article 2).

5. No warranty

Beyond the mandatory legal warranties that apply, the software is provided "as is", without warranty of any kind, express or implied, including as to fitness for a particular purpose or freedom from interruption or error. You are responsible for choosing the software to achieve your intended results.

6. Limitation of liability

To the extent permitted by law, V-Softs shall not be liable for any indirect damage, loss of data, loss of business or loss of profit arising from the use of, or inability to use, the software. Nothing in this EULA limits liability that cannot be limited under the law.

7. Termination

The licence terminates automatically upon breach of any obligation under this EULA. On termination, you must cease all use of the software and destroy all copies. Executables already distributed in accordance with article 2 are not affected by termination.

8. Governing law

This EULA is governed by French law. It supplements the terms of sale.
